TaiMed Biologics announced that its exclusive U.S. partner for the HIV drug Trogarzo, Theratechnologies (TH), has signed a definitive agreement with CB Biotechnology, an affiliate of Future Pak. Under the agreement, TH will be acquired for US$3.01 per share in cash, along with a contingent value right (CVR) of up to US$1.19 per share, bringing the total potential transaction value to US$254 million. The acquisition is expected to close in Q4 2025, pending shareholder and court approval.

TaiMed stated it is fully informed of the development and emphasized that the partnership between the two companies regarding Trogarzo’s commercialization in the U.S. and Canada remains unchanged. The company also expressed optimism that Future Pak’s additional resources will further support and enhance Trogarzo’s market performance.

According to the agreement, TH will be acquired through a combination of cash and CVRs based on the company’s performance over the next 36 months. TaiMed affirmed that its long-term licensing and marketing agreement with TH for the U.S. and Canadian markets will remain in effect, and that the acquisition by Future Pak will not alter the terms of their collaboration. Trogarzo continues to be a key treatment for patients with multidrug-resistant HIV-1. TaiMed expects ongoing commercial promotion, clinical support, and regulatory coordination to proceed without disruption.

The acquisition also reflects strong market confidence in TH’s product portfolio, including Trogarzo and EGRIFTA. TaiMed believes that Future Pak’s resources and infrastructure will bring added momentum to sales and commercial deployment.

TaiMed does not anticipate any adverse impact on the supply chain, regulatory approvals, or patient access as a result of the transaction. The distribution and marketing of Trogarzo are expected to transition smoothly into Future Pak’s existing contract manufacturing and logistics systems.
